5.CONTRACT NOVATION
Contractor and Employer hereby consent to the right of Shanghai Electric Group Company Ltd (SEC) or such other Party as
Contractor may designate,at any time to assume all the rights and obligations of Contractor under this Agreement by giving a
notice in writing to such effect to Contractor and Employer requiring Contractor and Employer to enter into the novation
agreement in the form as set forth in Schedule 2 (Form of Contract Novation Agreement).The Contract Novation Agreement shall
become effective on the Novation Effective Date (as defined therein).Contractor and Employer acknowledge and agree that
Contractor shall cease to have any rights or any liability for any obligations under this Agreement after the Novation
Effective Date,and SEC shall become a Party hereto without the need for any further action on the part of SEC and the rights
and obligations of Contractor under this Agreement shall be transferred and amended in accordance with the terms of the
Contract Novation Agreement,as if SEC had executed this Agreement as amended by the terms of the Contract Novation
Agreement.
